ElementaLuxe™ Testimonial Terms & Conditions

These Testimonial Terms & Conditions (“Terms”) govern any written, audio, or video testimonials, reviews, quotes, images, recordings, survey responses, messages, or other content you submit to ElementaLuxe™ or its affiliates (collectively, “Company,” “we,” “us,” or “our”) via our websites, email, forms, social media, or third-party platforms (each, a “Testimonial”). By submitting a Testimonial, ticking acceptance, or tagging us in content you direct us to use, you agree to these Terms.
1) Definitions
Testimonial: any content you submit about your experience with Company programs, products, or services.
Likeness: your name, image, voice, biographical details, username/handle, and any other personal identifiers.
Platforms: our sites, emails, paid/organic ads, checkout pages, landing pages, courses, social channels, and third-party partners.
2) License & Ownership
You retain ownership of your Testimonial. In exchange for consideration (including the opportunity to be featured), you grant Company a worldwide, royalty-free, irrevocable, perpetual, transferable, and sublicensable license to use, reproduce, modify (for clarity/length/format), publish, translate, create derivative works, distribute, perform, and display the Testimonial—in whole or in part—with or without your name or handle, in any media now known or later developed, for any lawful business purpose, including advertising, marketing, and education. You waive any moral rights or rights of attribution to the extent permitted by law.
Alternative (assignment, if counsel prefers): “You hereby irrevocably assign to Company all right, title, and interest in and to the Testimonial, including all copyrights and related rights, throughout the world.”
3) Publicity Release
You grant Company permission to use your Likeness in connection with the Testimonial across the Platforms. We may use your first name, initials, city, profession, and program purchased. You may request anonymization (e.g., initials only) by emailing testimonials@elementaluxe.com before or after submission; we will honor reasonable requests going forward.
4) No Obligation / No Compensation
Submission does not obligate Company to use your Testimonial. You agree no monetary payment is due now or in the future for Company’s use, unless we expressly agree otherwise in writing.
5) Edits & Context
We may edit for length, clarity, grammar, or formatting without materially changing your meaning. We may combine your Testimonial with other content and use it alongside product information, imagery, headlines, and calls-to-action.
6) Representations & Warranties
You represent and warrant that:
(a) the Testimonial reflects your honest opinions and experiences with our products/services;
(b) it is original to you and you control the rights necessary to grant the license here;
(c) you were not coached to make false or misleading statements and any material connection or compensation is accurately disclosed;
(d) it does not infringe another’s intellectual property, privacy, publicity, or other rights;
(e) it does not contain unlawful, defamatory, obscene, harassing, hateful, or otherwise objectionable material, or malware/technical exploits; and
(f) you are not an employee or agent of Company (or if you are, you have disclosed that relationship).
7) Minors
If you are under the age of majority in your jurisdiction, you may not submit a Testimonial.
8) Endorsement & Disclosure Compliance
We follow advertising and endorsement rules (e.g., U.S. FTC Endorsement Guides). If you received any benefit (e.g., free access, discount, gift), you must clearly disclose that fact either in the submission form or within the content. Company may add or clarify disclosures for compliance.
9) Privacy & Data
Personal information associated with your Testimonial is processed under our Privacy Policy at [Privacy Policy URL]. We may store and process your Testimonial on third-party platforms (e.g., survey tools, social networks, UGC widgets, video hosts). By submitting, you consent to such processing and cross-border transfers consistent with our Privacy Policy.
10) IP/Removal Requests (Notice Procedure)
If you believe a Testimonial or our use of your Likeness infringes your rights or you wish to request removal, email testimonials@elementaluxe.com with: (i) your full name and contact info; (ii) link/description of the content; (iii) proof you are the rights holder; and (iv) the reason for the request. We may remove or modify content in our discretion and will act reasonably and promptly. Removal requests affect future use; they do not require recall of printed materials, completed ads, or prior campaigns.
11) Indemnification
You agree to indemnify, defend, and hold harmless Company and its officers, employees, agents, successors, and assigns from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your breach of these Terms or your Testimonial, except to the extent a claim arises from Company’s unauthorized alteration that materially misrepresents your statements.
12) Disclaimers & Limitation of Liability
Testimonials reflect individual experiences and do not guarantee similar results. To the maximum extent permitted by law, Company disclaims all warranties, express or implied, and limits its total liability for any claim relating to your Testimonial to USD $100 or the minimum amount permitted by law.
13) Governing Law & Dispute Resolution
These Terms are governed by the laws of Ohio, USA, without regard to conflict-of-laws rules. Venue and jurisdictionshall lie exclusively in the state courts of Hamilton County, Ohio and the federal courts of the Southern District of Ohio, unless your local law requires otherwise.
14) Changes to Terms
We may update these Terms from time to time. The “Last updated” date will reflect the current version. Continued submission or authorization after changes constitutes acceptance.
15) Entire Agreement; Severability
These Terms (plus any additional written permission you give us) constitute the entire agreement regarding your Testimonial. If any provision is unlawful or unenforceable, the remainder remains in effect.
